Application and Entire Agreement

These Terms and Conditions govern the provision of services as detailed in our quotation (Services) by Go Beyond Clicks Limited, a company registered in England and Wales under number 15531271, with its registered office at 20 Wenlock Road, London, England, N1 7GU (referred to as “we”, “us”, or “Service Provider”), to the individual or entity purchasing the services (referred to as “you” or “Customer”). By accepting our quotation or upon the commencement of any service performance (whichever occurs earlier), you are deemed to have accepted these Terms and Conditions. This Contract, comprising these Terms and Conditions and our quotation, constitutes the entire agreement between us.

You acknowledge that you have not relied on any statement, promise, or representation made by us, and these Conditions prevail over any other terms you may seek to impose or incorporate.

Interpretation

“Business day” refers to any day other than a Saturday, Sunday, or bank holiday in England and Wales.

Headings in these Terms and Conditions are for convenience only and do not affect their interpretation.

Words indicating singular number also include the plural, and vice versa.

Services

We assure that we will exercise reasonable care and skill in providing the Services, adhering to the quotation’s specifications. Any necessary changes to the Services to comply with applicable laws or safety standards will be communicated to you.

While we aim to complete the Services within the agreed timeframe or as specified in the quotation, time is not of the essence.

These Terms and Conditions apply to the supply of goods as well as Services, unless stated otherwise.

Your Obligations

You are responsible for obtaining any necessary permissions, consents, or licenses required for us to provide the Services. You must also provide us with access to all relevant information, materials, and properties necessary for service provision.

Failure to comply with these obligations may lead to termination of Services.

Fees

Fees for the Services are detailed in the quotation and are based on time and materials. Additionally:

We may recover reasonable incidental expenses and the costs of third-party services and materials necessary for Service provision.

Payment for additional services not specified in the quotation will be invoiced at our applicable rate.

Fees exclude VAT and other applicable taxes.

Cancellation and Amendment

Quotations may be withdrawn, cancelled, or amended within 14 days from the date of issuance, unless accepted by you or Services have commenced.

Either party may cancel an order before your acceptance (or rejection) of the quotation.

Requests for amendments to Services must be made in writing. Additional costs incurred will be included in the Fees.

Payment

We will invoice you upon completion of Services or as outlined in the quotation. Payment is due within 14 days of invoice date or as per agreed credit terms.

Failure to make timely payments may result in interest charges and suspension of Services.

All payments must be made in British Pounds unless otherwise agreed in writing.

Sub-contracting and Assignment

We reserve the right to assign, subcontract, or deal with our rights and obligations under these Terms and Conditions. You may not do so without our prior written consent.

Termination

We may terminate Services immediately if you breach your obligations, fail to make payments, or face insolvency proceedings.

Intellectual Property

We retain all intellectual property rights in goods supplied. We reserve the right to take action against infringement of such rights.

Liability and Indemnity

Our liability is limited to the total Fees payable by you under the Contract. We are not liable for indirect or consequential losses or any failure to perform due to circumstances beyond our control.

You must indemnify us against damages arising from loss or damage caused by you.

Data Protection

When processing personal data, you are the data controller, and we act as data processor as defined by GDPR. We will process Personal Data only as necessary to provide Services.

Circumstances beyond a Party’s Control

Neither party is liable for failure to perform obligations due to causes beyond their control. If such delay exceeds 90 days, either party may terminate Services.

Communications

All notices must be in writing. Notices are deemed given when delivered, sent by fax or email, or on the fifth/tenth business day after mailing.

No Waiver

No delay or omission by either party constitutes a waiver of rights or remedies.

Severance

Unlawful or invalid provisions will be severed from the remaining Terms and Conditions, which remain valid.

Law and Jurisdiction

These Terms and Conditions are governed by the laws of England and Wales, with disputes subject to the exclusive jurisdiction of English and Welsh courts.
